Waiver of Liability

Sail La Vie: Black Yacht Day™ Miami

March 1, 2026

This Waiver and Release of Liability (“Waiver”) is entered into by the undersigned participant (“Participant”) in favor of Black Yacht Day™ Miami (“Host”) and the following individuals and entities, solely in their individual and/or separate business capacities:

Alexis Brown, individually, and SocialXchange, Inc.

Andrew Scott, individually, and iParty Boat and Yacht Rentals

Shakyra Chrysostome, individually, and Kyra Public Relations LLC

Adam Payne, individually

(collectively, the “Organizers”).

No Organizer is acting as a partner, joint venturer, agent, employee, or legal representative of any other Organizer. Each Organizer operates independently and is responsible only for their own actions.

Independent Third-Party Yacht Providers

Participant understands and agrees that:

- All yachts, vessels, captains, and crew are provided by independent third-party yacht brokers and charter companies (“Service Providers”).

- The Host and Organizers do not own, operate, manage, insure, control, or crew any vessel used during the Event.

- Service Providers maintain their own licenses, insurance, contracts, and safety procedures.

- Participant may be required to sign additional waivers or agreements directly with Service Providers.

The Host and Organizers only facilitate access to the Event and do not provide maritime, transportation, or boating services.

Waiver and Release of Liability

To the maximum extent permitted by law, Participant hereby irrevocably waives, releases, acquits, and forever discharges the Host, the Organizers, and each of their respective past, present, and future owners, members, officers, directors, managers, employees, contractors, agents, affiliates, successors, assigns, and insurers (collectively, the “Released Parties”) from any and all claims, demands, actions, causes of action, liabilities, damages, losses, costs, or expenses of any kind.

This release includes, without limitation, claims arising from:

- Personal injury, illness, or death

- Property damage, loss, or theft

- Emotional distress

- Economic or consequential loss

Whether arising from ordinary negligence, gross negligence, alleged recklessness, or any other theory of liability, and whether occurring before, during, or after the Event.

Participant expressly agrees not to sue or assert claims against any Released Party.

Assumption of Risk

Participant understands that boating, yachting, and water-based activities involve inherent and significant risks, including but not limited to:

- Slips, falls, and collisions

- Drowning or water-related injury

- Weather and sea conditions

- Mechanical or equipment failure

- Alcohol consumption

- Actions or omissions of other participants or third parties

Participant knowingly and voluntarily assumes all risks, whether known or unknown, foreseeable or unforeseeable, and accepts full responsibility for their participation.

Indemnification and Defense (Survives the Event)

Participant agrees to defend, indemnify, and hold harmless each Released Party individually and separately from and against any and all claims, liabilities, damages, judgments, fines, penalties, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

- Participant’s attendance or participation

- Participant’s conduct or omissions

- Participant’s breach of this Waiver

- Claims brought by third parties caused in whole or in part by Participant

This obligation survives the Event and any refund or ticket transfer.

Limitation of Liability

To the fullest extent permitted by law:

- No Released Party shall be liable for indirect, incidental, consequential, special, or punitive damages.

- If liability is imposed despite this Waiver, the maximum aggregate liability shall not exceed the amount paid by Participant for their ticket.

Medical Fitness and Insurance

Participant represents that they are physically and mentally capable of participating and assumes responsibility for obtaining any desired medical or travel insurance. The Host and Organizers make no representations regarding insurance coverage.

Governing Law and Venue

This Waiver shall be governed by the laws of the State of Florida, with exclusive venue in Miami-Dade County, Florida. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment

By purchasing a ticket and/or participating in the Event, Participant confirms that they:

- Have read and understood this Waiver

- Are at least 21 years of age

- Voluntarily waive substantial legal rights

If Participant does not agree, they must not purchase a ticket or attend the Event.
