Waiver of Liability

By participating in the Sail La Vie event, hosted by Black Yacht Day™ Miami (“Host”) and organized in collaboration with Adam Payne, Shakyra Chrysostome, Kyra Public Relations LLC, Alexis Brown, Socialxchange, Inc., Andrew Scott, and iParty Boat and Yacht Rentals (collectively, “Organizers”), you, the participant, acknowledge and agree to the terms outlined in this Waiver of Liability. While yachts and captains are independently provided by brokers, the Host and Organizers facilitate connections between participants and the brokers for charter services. The yacht broker will have its own waiver and processes, which are separate from this agreement.

Waiver and Release of Liability
By signing this waiver, you expressly waive and release any and all claims, whether known now or discovered in the future, against Black Yacht Day™ Miami, the Host, the Organizers, and their agents, affiliates, successors, and assigns (collectively, “Releasees”), for any injury, death, or property damage arising out of or attributable to your participation in the Sail La Vie event, including any claims arising from the ordinary or gross negligence or reckless conduct of the Host, Organizers, or any Releasees. You agree not to make or bring any claims against the Host, Organizers, or any other Releasee and forever release and discharge them from liability under any such claims.

Indemnification
You agree to defend, indemnify, and hold harmless Black Yacht Day™ Miami, the Host, the Organizers, and all other Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorney fees, arising from or related to your participation in the Sail La Vie event or your breach of this agreement.

Assumption of Risk
You understand and acknowledge that activities associated with boating and sailing involve inherent risks, including but not limited to the risk of serious bodily injury, death, or property damage. You voluntarily assume all risks related to your participation in these activities, whether arising from the negligence of Black Yacht Day™ Miami, the Host, the Organizers, or otherwise, and agree that the Host, Organizers, and all other Releasees shall not be liable for any acts, omissions, loss, injury, or damage of any kind incurred as a result of your participation in the Sail La Vie event or use of services provided by the Service Providers.

Choice of Law
This Waiver of Liability shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. If any provision of this Waiver is deemed unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment
By reading this form and submitting your payment, you confirm that you understood this Waiver of Liability and voluntarily agree to be bound by its terms. You also represent that you are of legal age and have the authority to enter into this agreement. If you do not agree to the terms of this Waiver, you will not be able to participate in the Sail La Vie: Black Yacht Day™ event.
